Terms and Conditions
1. Scope of Application
These Terms and Conditions apply to all contracts between Lyron and the customer for automation services, consulting, and related services.
2. Subject Matter of the Contract
Lyron provides services in the area of business process automation. The exact scope of services is defined in the respective offer or service description.
3. Service Delivery
Lyron provides the agreed services according to the current state of technology and in compliance with recognized standards for automation solutions.
The customer provides the information, access, and resources required for service delivery in a timely manner.
4. Compensation and Payment
Compensation is based on the agreed offer. Project services are billed at a fixed price or on a time and materials basis. Maintenance packages are billed monthly in advance.
Invoices are due within 14 days of the invoice date.
5. Warranty
Lyron warrants that the automations created meet the agreed specifications at the time of acceptance. The warranty period is 12 months from acceptance.
6. Liability
Lyron is fully liable for intent and gross negligence. In cases of slight negligence, Lyron is only liable for breach of material contractual obligations and limited to the foreseeable, typical damage.
7. Confidentiality
Both parties undertake to keep confidential information of the other party secret and to use it only for the fulfillment of the contract.
8. Contract Duration and Termination
Maintenance contracts are concluded for an indefinite period and can be terminated with 3 months' notice at the end of the month.
9. Final Provisions
German law applies. The place of jurisdiction is, to the extent legally permissible, the registered office of Lyron.
Should individual provisions of these Terms and Conditions be invalid, the validity of the remaining provisions shall remain unaffected.
